TrueNorth Systems provides a cloud-based business management platform designed for contractors, small businesses, and service professionals. The Service includes, but is not limited to:

• Income, expense, and labor tracking
• Invoice and estimate generation
• Employee and client management
• Project and task management
• Mileage tracking and tax deduction calculation
• Calendar and scheduling tools
• AI-powered assistant (DrCyberTech)
• File storage and document management

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized use of your account.

You must be at least 18 years old to create an account. By registering, you represent that you are of legal age and have the authority to enter into these Terms.

4. Subscription Plans & Billing

The Service is offered under various subscription tiers (Standard, Professional, Premium). Plan features and pricing are described on our website and are subject to change with reasonable notice.

• Free Trial: New accounts may include a trial period. At the end of the trial, you must subscribe to continue using premium features.
• Billing: Subscriptions are billed monthly or annually through Stripe. You authorize recurring charges to your payment method.
• Cancellation: You may cancel your subscription at any time. Access continues through the end of the current billing period.
• Refunds: Subscription fees are non-refundable except where required by law.

5. User Responsibilities

You agree to:

• Provide accurate, current, and complete information
• Use the Service only for lawful business purposes
• Not share your account credentials with unauthorized individuals
• Not attempt to reverse engineer, hack, or disrupt the Service
• Not upload malicious content, malware, or unauthorized files

6. Data Ownership

You may export Your Data at any time using the built-in export features. Upon account termination, Your Data will be retained for 30 days before permanent deletion, unless otherwise required by law.

The Service, including its design, code, features, branding, and documentation, is the intellectual property of TrueNorth Systems LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without explicit written permission.

8. Service Availability & Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE." We strive for 99.9% uptime but do not guarantee uninterrupted access. We are not liable for:

• Temporary outages due to maintenance, updates, or infrastructure issues
• Data loss due to user error or third-party service failures
• Inaccuracies in financial calculations — the Service is a management tool, not a substitute for professional accounting or tax advice

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUENORTH SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or abuse of the Service. You may terminate your account at any time by contacting support or canceling your subscription.

11. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of the State of Florida.
